These are our terms and conditions that apply to you when you access and use our website, services, software and ERP solutions. When you access or use our platform, you agree to be bound by all of our terms and conditions, and if you do not agree with any part of our terms, you must discontinue use of our services immediately. Our terms apply to all the visitors, users, clients and others who access and use our services.

Our terms apply to our ERP implementation, customization, integration, consulting, support and all the other related services that we offer. IronDevs X ERP reserves the right to update, modify and replace any part of these terms at any time. We will update any changes that we make to our terms and conditions on this page. It is your responsibility to review these terms regularly to stay informed of all of our updates, and you confirm that you are legally eligible to bind any agreement with us under applicable laws, and you will only use the platform for lawful business purposes.

When we say clients/you/your in our terms, it refers to the business, organization, and individuals that use our services and website.
When we mention services in our terms, it refers to ERP consulting, Odoo implementation, customization, integration, cloud deployment, training, support and other services that we offer.

Our Services

We provide professional and customized ERP services such as:

Odoo ERP implementation and deployment
ERP customization and module development
ERP and system integrations with third-party applications, APIs and tools
ERP cloud deployment
Data migration and system configuration
ERP training
Ongoing ERP technical support and system maintenance
Industry-specific ERP services
We provide all of our services according to the project scope, timeline and mutual agreement between our clients and us.

User Responsibilities

Client requirements may vary based on their project scope and system requirements, but all clients should agree to:

Provide accurate and complete business information.
Clearly communicate for timely project completion and feedback.
Provide required system access for efficient system integration and implementation.
Cooperate with our experts for system testing, deployment, training and other project-related tasks.
Create a backup of all sensitive business data before ERP migration and other services, or ask us to create the backup of your data.
It is important to stay connected with our team to avoid delays in project completion, as any delay from your side will directly impact the timeline.

Scope of Services and Change Management

We manage and execute all of our projects according to a defined scope of work.
After finalizing the project requirements and budget, if you request to add any additional features, integrations, customizations, or modifications to the system, it will be treated as change requests and may cost you more than the decided budget.
All the changes and modifications in the project scope, requirements, timeline and features will be implemented after both parties officially approve.

Payments and Ownership Rights

Our pricing depends on several factors, such as project complexity, number of users, integrations, customization, resource allocation, and client preferences, to hire our experts at hourly or fixed project rates.
Clients must pay all the payments and dues according to the agreed invoicing schedule.
We have the right to suspend or terminate our services in case of payment delays and payment defaults.
After clients pay all of our invoices, they will retain the ownership of their personalized ERP configuration and business data.
We retain the ownership of all the reusable system components that we develop, such as frameworks, libraries, templates, scripts, automation tools, and coding structures and use them in future projects.
It is strictly forbidden to copy and distribute proprietary systems such as ERP tools, codebases, frameworks, scripts, modules, and internal technologies without official approval.

Confidentiality and Data Security

Both parties must maintain strict business, technical and financial information confidentiality.
The data shared between our clients and us during projects will not be disclosed to any other third parties without written approval, unless it is required by law.
We take advanced and secure measures to protect all of our client data and business information.
We cannot guarantee absolute data protection against unauthorized access, cyber threats, and unforeseen security breaches, because no system, network, or cloud storage is completely secure.
Clients are responsible for data backup maintenance, or they can include our data backup services in the project.

Integrations and Warranties

We may integrate our ERP solutions with third-party applications, software and services.
In any case, we are not responsible for the policy changes, downtime and errors from any third-party service provider.
Clients must review and comply with the terms and licensing agreements of third parties.
The system may depend on external service providers due to system integrations and other factors, and that's why we do not guarantee that the system will always run without interruptions.
We are not legally responsible for indirect losses such as business interruption, data loss, or revenue loss due to system issues, except where applicable law does not allow such a limitation.
We provide support services according to the agreement and a contract between our clients and us.
We also offer emergency ERP support services, but it may cost you additional charges.

Termination of Services

IronDevs X ERP reserves the right to suspend any part of our service or all services in the following cases:

When payments to IronDevs X ERP are overdue.
If a client violates any of our terms and conditions or misuses our services, systems, software, or resources.
If a client does not provide required support, or the project becomes unfeasible because the client does not actively participate in project completion.
Clients can also terminate our services with an advanced written notice and pending payment settlements.

Updates and Governing Law

We may update any changes in our terms and conditions at any time and post them on this page. Our Terms shall be governed by and interpreted in accordance with the applicable laws of the jurisdiction in which IronDevs X ERP is registered.
